Meridian EULA for MICRtype E-13B Font Software and Check Templates

Version 3.0

Purpose

MICRtype by Meridian Design, LLC ("Meridian", "we" or "us") is a digital design and development company that owns all rights to the Font Software and Check Template Software you have purchased.

Definitions

"Font Software" refers to the font files provided to you upon purchase. "Check Template Software" refers to the PDF check template files provided to you upon purchase. "Licensed Materials" refers collectively to both the Check Template Software and MICR Font Software. "The Customer" ("your" or "you") means the business or organization you represent when accepting the terms of this Agreement or, if that does not apply, you as an individual. You agree to be bound by the following terms and conditions of this End User Licensing Agreement ("EULA") offered by Meridian.

Terms of the Agreement

2.1 Individual License

The Customer is authorized to distribute the provided, appropriate font files ("Font Software") along with this EULA to the equivalent number of licensed users ("Licensed User[s]") as shown on the receipt accompanying the Font Software upon purchase.

2.2 Unlimited License

The Customer is authorized to distribute the Font Software along with this EULA to an unlimited number of licensed users employed by The Customer as well as to any Third Parties working on behalf of The Customer.

License Grants

3.1 Desktop

The Customer is authorized to install the Font Software for one End User on one desktop, laptop, or handheld computer directly operated by The Customer and may use the Font Software in any desktop applications.

3.1.1 Usage

The Customer may not distribute the Font Software to unlicensed End Users in any format other than read-only PDFs. Images of the Font Software may be created in raster format (PNG, JPEG, etc.) or in vector format (SVG, EPS, etc.).

The Customer may not use the Font Software to create any kind of electronic publication, e-books, apps or web applications, websites, or use it in any TV broadcasts or movies.

3.2 Websites

The Customer is authorized to use the Font Software within web applications or websites up to the number of cumulative active end-users ("Web Users") specified in the order receipt.

3.2.1 Usage

There are no limitations on how many domains The Customer may use the Font Software so long as The Customer owns or controls the domains and web applications or websites where the Font Software is installed. The cumulative number of Web Users across all domains must not exceed the limit specified in the order receipt for more than two consecutive months. If this occurs, The Customer must purchase an additional license to cover the additional page views.

The Customer may not link to the OpenType (OTF), TrueType (TTF), or Unified Font Object (UFO) versions of the Font Software. The Customer may not use the Font Software to create any kind of electronic publication, e-books, desktop or mobile Apps, or use it in any TV broadcasts or movies. The Font Software may not be edited or altered in any way.

3.3 Applications ("App[s]")

The Customer is authorized to use and distribute the Font Software within desktop computer software Apps, mobile Apps, or games.

3.3.1 Usage

The Customer is authorized to embed the Font Software into an unlimited number of copies, and subsequent versions of each App, and within an unlimited number of distinct Apps.

The Customer is authorized to embed the Font Software in Portable Document Format ("PDF") files that the App distributes to End Users, provided that the PDFs themselves are not sold for profit.

The Customer may not distribute the Font Software through the App's source code. The Customer may not install the Font Software on the operating system on which the App is installed for each distinct App user ("App User").

The cumulative number of End Users may not exceed the limit of active end-users specified in the order receipt for more than two consecutive months. If this occurs, The Customer must purchase licenses to cover the additional App User.

Check Template Usage Rights

4.1 Authorized Use

The Customer is authorized to use the Check Template Software solely for the purpose of printing legitimate checks from their own accounts. The Customer must:

  • Use industry-standard check stock paper with security features
  • Comply with all applicable banking regulations and ANSI standards
  • Maintain accurate records of all checks printed
  • Ensure proper security measures to prevent unauthorized access

4.2 Prohibited Uses

The Customer may not:

  • Modify the MICR line encoding or positioning
  • Remove or alter security features or version identifiers
  • Use the Check Template Software for creating counterfeit checks
  • Distribute the Check Template Software to unlicensed users
  • Use the Check Template Software for any fraudulent purposes

Disclaimer of Liability

5.1 Check Processing

Meridian makes no warranties regarding the acceptance of checks printed using the Licensed Materials by any financial institution. The Customer is solely responsible for ensuring compliance with their financial institution's requirements.

5.2 Security

The Customer assumes all responsibility for:

  • Securing access to the Licensed Materials
  • Preventing unauthorized use
  • Complying with all applicable laws and regulations
  • Any misuse, fraud, or illegal activities involving the Licensed Materials

5.3 Indemnification

The Customer agrees to indemnify and hold Meridian harmless from any claims, damages, or expenses arising from:

  • Misuse of the Licensed Materials
  • Check fraud or forgery
  • Violation of banking regulations
  • Any illegal activities involving the Licensed Materials

All Rights Reserved

The Licensed Materials are the exclusive property of Meridian. The Licensed Materials are protected by United States and international copyright along with other laws and treaties. The Customer agrees not to use the Licensed Materials in any manner that infringes the intellectual property rights of the copyright holder or violates the terms of this EULA. The Customer will be held liable for any infringement of the copyright holder's rights resulting from a failure to abide by the terms of this EULA.

Termination

6.1 Cause for Termination

Meridian may terminate this EULA with 30 days' written notice if The Customer fails to comply with any terms of this EULA. The written notice shall identify the alleged violation of the EULA by The Customer and request a remedy. If The Customer fails to comply with the EULA within this time period, the Agreement will be terminated. The Customer is responsible for destroying all Licensed Materials along with any printed materials and copies.

6.2 Termination for Convenience

This Agreement may be terminated by The Customer at any time by destroying all Licensed Materials along with any printed materials and copies.

No Refunds

All sales are non-refundable, non-cancellable, and non-creditable.

Warranty

Meridian offers no warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensed Materials are delivered "as is," and Meridian is not responsible for any damages, direct, indirect, consequential, or incidental resulting from the use or inability to use the Licensed Materials, even if The Customer has been advised of the possibility of such damages.

Governing Law

This EULA is governed by the laws of the United States of America and the State of South Carolina.

Entire Agreement

This EULA, along with the provided receipt that accompanies each Licensed Materials licensed by Meridian, constitutes the entire agreement between Meridian and The Customer.

Agreement Modification

Meridian and The Customer may modify or amend this EULA when agreed to in writing.

No Waiver

The waiver of any breach of this Agreement is not deemed a waiver of any subsequent breach.
