These are Demo Files. Section 11 of the EULA below is the license that applies to them.

MERIDIAN END USER LICENSE AGREEMENT FOR MICRTYPE E-13B FONT SOFTWARE

Version 4.0. Effective October 27, 2026. This version replaces Version 3.0
(https://www.micrtype.com/eula/v3) for every license bought, and every file
downloaded from micrtype.com, on or after the effective date. Check templates
are no longer sold or licensed. Earlier check template purchases keep the
terms they were bought under.

1. Who we are and what this covers

MICRtype is made by Meridian Design, LLC ("Meridian", "we" or "us"). This End
User License Agreement ("EULA") covers the MICRtype E13B font software and the
services Meridian provides around it. Please read it before you buy. The free
Demo Files exist so you can evaluate the font first.

2. Definitions

  - "Customer" (also "you" or "your") means the legal entity named on the
Receipt together with its subsidiaries and affiliates under common
control, or, if no entity applies, the individual named on the Receipt.
If the Receipt names an individual who bought on behalf of an
organization, the Customer is that organization.
  - "Receipt" means the order confirmation and license key issued by Polar,
Meridian's merchant of record, naming the Customer and the license tier
    bought.
  - "Font Software" means the MICRtype E13B font files Meridian delivers to
the Customer: the variable font in TTF, WOFF2 and WOFF formats, the
static instances, every Generated Instance, and updates to any of them.
  - "Generated Instance" means a static font cut by Meridian's Custom
Instance Generator at axis values the Customer chooses, carrying the
    Licensee Stamp.
  - "Licensee Stamp" means the "Licensed to" text and the other identifying
metadata Meridian writes into a font file's internal name records.
  - "Conformance Report" means the PDF and JSON audit Meridian produces for
a font file, described in section 7.
  - "File Hash" means the SHA-256 digest Meridian publishes for a delivered
    file, described in section 8.
  - "Calibration Sheet" means the printer calibration PDF generated for the
    Customer's account.
  - "Licensed Materials" means the Font Software, Conformance Reports and
    Calibration Sheets together.
  - "Output" means the documents, PDFs, images and printed material the
Customer produces with the Font Software, including the MICR line on a
    printed check.
  - "Demo Files" means the free sample fonts available from micrtype.com
without purchase. They are licensed under section 11 only.

3. How you accept this EULA

By paying for a license, downloading the Font Software, or using it, the
Customer accepts this EULA. If the person accepting does so for a company or
organization, that person confirms they are authorized to bind it. The license
belongs to the Customer as defined in section 2 and to no one else.

Polar is Meridian's merchant of record. Polar issues the Receipt, the license
key and the download links, and Polar's own terms govern payment processing.
Keep the license key private. It identifies your license and gives access to
your account services.

4. License tiers

The Receipt names which tier applies. Every tier is perpetual for the files
delivered, non-exclusive and non-transferable except as section 20 allows.
Every tier covers an unlimited number of workspaces, computers and documents,
has no user cap, and includes updates as described in section 13.

4.1 In-house License

Meridian grants the Customer a license to install and use the Font Software on
any number of computers, servers and printers that the Customer owns or
controls, for use by the Customer's own staff, and by contractors working on
the Customer's behalf, to produce the Customer's own documents, such as its
own payroll, vendor and refund checks.

The In-house License does not allow the Customer to embed or bundle the Font
Software in any software, web application, service or product; to print or
generate MICR documents for other businesses as a service; or to give copies
of the Font Software to anyone outside the Customer.

4.2 Commercial License

Meridian grants the Customer everything the In-house License allows, plus a
license to embed the Font Software in software the Customer builds and
operates, including desktop and mobile applications, web applications, hosted
services, APIs, and the PDFs those systems generate, for use by an unlimited
number of end users, and a license to produce MICR documents as a service for
the Customer's clients.

The Font Software must stay inside the Customer's product or process: loaded
privately by the application, served as a web font by the Customer's own web
application, embedded in a PDF, or used on the Customer's own equipment to
print for clients.

The Commercial License does not allow the Customer to ship the Font Software
as a separate installable font or in source-code form; to let end users or
clients download, extract or install the font files; to install the Font
Software into the operating system font library on end users' machines; or to
sell or license the font files themselves.

4.3 Redistribution and OEM

This EULA grants no right to white-label, rename, resell, sublicense or
redistribute the Font Software on its own, to bundle it with another font
product, or to allow a third party to embed it in their own software. Those
rights exist only under a separate written agreement with Meridian. Contact us
through the support chat on micrtype.com for a quote.

4.4 What is delivered

Every paid license includes:

  - The variable font in TTF, WOFF2 and WOFF formats.
  - The static instances cut from the variable font.
  - A Conformance Report for the delivered files, as described in section 7.
  - A File Hash for the delivered files, as described in section 8.
  - A Calibration Sheet stamped with the Customer's name, as described in
    section 9.
  - Access to the Custom Instance Generator while Meridian offers it, as
described in sections 6 and 10.

5. Rules for every tier

5.1 Your Output is yours

Documents, PDFs, images and printed material you make with the Font Software
belong to you. You may embed the Font Software in the PDFs you produce so they
display and print correctly. A PDF may not be used as a way to hand the font
files to someone who is not licensed.

5.2 Copies

The Customer may keep reasonable backup and deployment copies of the Font
Software. Every copy stays the Customer's responsibility and must keep its
metadata, including the Licensee Stamp, intact.

5.3 No modification except through the Generator

The Font Software may not be modified except by Meridian's Custom Instance
Generator. A Generated Instance is Licensed Materials and carries the same
license as the file it was cut from.

Any other deliberate change is prohibited. This includes editing outlines,
metrics, hinting or axis ranges; subsetting; renaming the family or styles;
converting to another format; recompiling; and removing, hiding or changing
the Licensee Stamp, copyright, license text or other metadata. A file changed
this way is not a file Meridian delivered. No Conformance Report applies to
it, as section 8 explains, and Meridian has no responsibility for it.

The font files carry an "editable embedding" permission bit so that PDFs and
office documents containing the font can still be edited. That bit is a
technical setting read by software. It does not widen this license.

Subsetting, re-encoding or re-packaging that PDF generators, office software,
browsers, application bundlers or operating systems perform automatically
while embedding the Font Software as the Customer's tier permits is not a
modification and does not affect the Customer's license. The data those tools
produce is not a file Meridian delivered, so no Conformance Report or File
Hash applies to it.

5.4 Prohibited uses

The Customer may not use the Licensed Materials to:

  - Produce counterfeit, altered or fraudulent documents.
  - Produce documents drawn on accounts the Customer is not authorized to
    issue documents against.
  - Share the license key or account access with anyone outside the
    Customer.
  - Build, train or derive a competing MICR font.
  - Do anything beyond what the Customer's tier allows.

5.5 Contractors and service providers

Contractors, printers and IT providers may use the Font Software on the
Customer's behalf, under the Customer's tier and the Customer's
responsibility, only to serve the Customer. A business that prints or
generates MICR documents for many clients as a service needs its own
Commercial License.

6. The Custom Instance Generator

Licensed accounts at micrtype.com may cut a static font at any combination of
EDGE, TRAK and SKEW values within the ranges the variable font allows. Each
Generated Instance is stamped "Licensed to" the name on the account in its
internal metadata. You may cut as many instances as you need. The stamp
identifies the licensee and must stay in the file.

7. Conformance Reports

When Meridian supplies a Conformance Report for a font file, including a
Generated Instance, the report is a geometry and file-format audit of that
file's compiled outlines against ANSI X9.100-20-2021, Clauses 6, 7.1, 9.3 and
9.5 and Figures 15 and 16: character shapes, stroke widths, average edge
positions, overall dimensions, advance pitch, character mapping, and, for the
variable font, axis ranges, including that the SKEW axis stays within the
±1.5° limit of Clause 8.

The report expressly does not cover anything that depends on the printer,
toner, paper or reader. Clauses 7.2, 8, 9.4 and 10 through 18 of the standard,
which cover alignment and skew of the printed line, edge irregularity, voids,
ink, debossing and embossing, signal level, document format, optical
properties and permanence, are out of scope. The signal levels in the report's
appendix are predictions from a mathematical model, not measurements of
printed output.

A Conformance Report is not a certification. It is Meridian's own test result
for one file. Meridian is not accredited by ANSI or X9. The report does not
mean, and the Customer may not state or imply, that the Font Software or the
Customer's Output is "certified", "ANSI certified", "bank approved", or
endorsed by ANSI, X9, any bank or any reader manufacturer.

The Customer may share a Conformance Report, unchanged, with its bank,
auditors, clients or regulators. The Customer may not edit a report, remove
pages or fields, or present a report as covering a different file.

8. File Hashes

Meridian publishes a SHA-256 hash for the files it delivers, and a Conformance
Report states the hash of the exact file it audited. A report applies only to
a file whose hash matches the hash in that report.

If a file's hash does not match, the file is not the file Meridian delivered.
It is unaudited: no Conformance Report applies to it, and Meridian has no
responsibility for it or for any Output made with it. Section 5.3 decides
whether the Customer may use such a file.

9. The Calibration Sheet

The Calibration Sheet is generated for the Customer's account and stamped with
the Customer's name. It is for calibrating your printer only and is not a bank
document. You may print it as often as you need. You may not redistribute it.

10. Account services

The Custom Instance Generator, the Calibration Sheet download, account sign-in
and the Polar customer portal are online services provided to licensed
accounts as a convenience. Meridian may change, suspend or retire them at any
time. Losing access to a service does not affect your license to the files you
have already downloaded. Meridian may suspend account services while it
investigates suspected fraud, key sharing or other misuse, and may cooperate
with banks and law enforcement investigating documents produced with the Font
Software. Support is offered through the support chat on micrtype.com on a
best-effort basis.

How we handle personal data is described in the MICRtype Privacy Policy at
https://www.micrtype.com/privacy.

11. Demo Files

The Demo Files are free. Meridian grants anyone who downloads them a non-
exclusive, revocable license to install them and to test rendering and
printing for the purpose of evaluating MICRtype. The Demo Files deliberately
leave out characters, so a complete MICR line cannot be printed with them.

The Demo Files may not be used to produce checks or other documents meant for
deposit, clearing or processing. They may not be embedded in any software,
website or PDF intended for others, may not be modified, and may not be
redistributed. They come with no Conformance Report and no warranty. Delete
them if you decide not to buy.

12. Ownership

The Licensed Materials are the exclusive property of Meridian and are
protected by United States and international copyright law and other laws and
treaties. Nothing in this EULA transfers ownership to the Customer. This EULA
grants no right to use the MICRtype or Meridian names or logos, except to
state truthfully that the Customer's product or documents use MICRtype under
license. The Customer agrees not to use the Licensed Materials in any way that
infringes Meridian's rights, and is liable for any infringement that results
from use outside this EULA.

13. Updates

Each license includes updates to the Font Software for as long as Meridian
publishes them. Where micrtype.com describes updates as "lifetime", it means
for the life of the MICRtype E13B product line: as long as Meridian publishes
updates to it. Updated files are licensed under the Customer's tier. If an
update is published under a newer version of this EULA, that version applies
to files downloaded after it takes effect. Files you already have stay under
the version you accepted.

14. No warranty

The Licensed Materials are delivered "as is". Meridian offers no warranty of
any kind, express or implied, including the implied warranties of
merchantability, fitness for a particular purpose and non-infringement.

Meridian does not warrant that any bank, clearing house, reader or sorter will
accept Output printed with the Font Software. Printed MICR quality depends on
the printer, toner, paper, calibration and the Customer's own process, none of
which Meridian controls. The Customer is responsible for testing its own
Output with its own bank before relying on it.

15. Limitation of liability

To the extent the law allows, Meridian's total liability for everything
arising from this EULA or the Licensed Materials is limited to the amount the
Customer paid for the license. Meridian is not liable for lost profits,
rejected or returned checks, bank fees, reprinting costs, or any indirect,
incidental, special or consequential damages, even if Meridian was told they
were possible. Where the law does not allow these limits, Meridian's liability
is limited to the smallest amount the law permits.

16. Indemnification

The Customer will defend and indemnify Meridian, and hold it harmless, against
claims, losses and costs arising from:

  - The Customer's Output and the documents the Customer issues.
  - Check fraud, forgery or misuse involving the Customer's copies of the
    Font Software.
  - Use of the Licensed Materials outside this EULA.
  - Claims by the Customer's own end users or clients.

17. Term and termination

17.1 Termination for cause

If the Customer fails to comply with this EULA, Meridian may send written
notice to the email address on the Receipt identifying the violation and
asking for a remedy. If the Customer does not remedy it within 30 days, the
license ends.

Meridian may instead end the license and suspend account services immediately
on written notice if the violation is a prohibited use under section 5.4,
removal or alteration of the Licensee Stamp or other metadata under section
5.3, or distribution of the Font Software outside what the Customer's tier
allows.

17.2 Termination for convenience

The Customer may end this EULA at any time by deleting all copies of the
Licensed Materials.

17.3 Effect of termination

When the license ends, the Customer must delete all copies of the Licensed
Materials, including Generated Instances, and stop embedding the Font Software
in new builds and releases. Output already produced is unaffected. No refund
is due.

18. All sales final

All sales are final: non-refundable, non-cancellable and non-creditable.
Evaluate with the free Demo Files before buying. Receipts, license keys and
downloads come from Polar, our merchant of record.

19. Governing law

This EULA is governed by the laws of the State of South Carolina and the
United States of America, without regard to conflict-of-laws rules. The United
Nations Convention on Contracts for the International Sale of Goods does not
apply.

20. General terms

  - This EULA, together with the Receipt, is the entire agreement between
Meridian and the Customer about the Licensed Materials.
  - Changes to this EULA for an existing license must be agreed in writing
by both parties. Meridian may publish new versions of this EULA that
apply to new purchases and new downloads.
  - Waiving one breach of this EULA does not waive any later breach.
  - If any part of this EULA cannot be enforced, the rest stays in effect.
  - The Customer may transfer its license only together with the business it
belongs to, and only with written notice to Meridian.
